tvScientific CJ Affiliate Network Advertiser Terms

Last updated: 10.05.2026

These CJ Affiliate Network Advertiser Terms (“Terms”) are a legally binding contract between tvScientific, Inc. and the other party (“Advertiser”) to an addendum, insertion order or other document (“Order”) that references these Terms or to which tvScientific provides advertising services through the Commission Junction LLC affiliate network (“Network”). These Terms together with any Order constitute the parties’ “Agreement”.

The Agreement is the entire agreement between tvScientific and Advertiser as to the subjects covered herein. It supersedes any other terms between the parties (e.g., representations, understandings, undertakings or agreements) whether prior, contemporaneous or future, including any other terms set forth or linked in the Network platform or otherwise provided by the Network or by Advertiser, regardless of whether tvScientific accepts or agrees to such other terms in the Network platform or via email. For the avoidance of doubt, if Advertiser issues changes or updates via the Network, such changes and updates shall be of no force or effect except for agreed changes to the Platform Fields. The Agreement can only be amended if both parties affirmatively accept the amendment in the Network platform or by a writing signed by both parties outside the Network platform (e.g., via Docusign, etc.), except that tvScientific may update these Terms by making the revised version available on this page, and an updated revision date will indicate that changes have been made. Advertiser’s use of the Services (including continuing a campaign, continued use of Tags or maintaining an account with tvScientific) on or after the revision date constitutes Advertiser’s agreement to the changes. For the avoidance of doubt, this Agreement is separate and distinct from any other agreement entered into between the Network and Company or tvScientific, respectively (each, the "Network Agreement"), and in the event of conflict between this Agreement and the Network Agreement, the Network Agreement shall prevail as between the Network and Company or the Network and tvScientific.

Order/Campaign Terms

The following terms agreed in the Network platform (“Platform Fields”) are binding on the parties:

  • Payable action (e.g., action, item, event and similar terms)
  • Payable amount (e.g., default payout, commission, $ per action, default rate and similar terms)
  • Attribution window (e.g., referral window, referral period, cookie window, cookie period, cookie duration, attribution period, referral days and similar terms)
  • Lock period (e.g., locking, locking mechanism and similar terms) subject to the Attribution provisions below

Any other terms in the Network platform (including terms related to credit, stand down, reversal, tracking, attribution, first click, etc.) do not apply.

Services

Advertiser grants to tvScientific all rights and permissions reasonably necessary to buy inventory on Advertiser’s behalf, manage ad campaigns, perform tracking and analytics, and store and serve ads (“Services”). Advertiser is responsible for the security of any access credentials. Unless the parties amend these terms to provide otherwise, Advertiser will use the Services solely for its own ad campaigns in the United States. Advertiser acknowledges that the Agreement does not cover Services in support user accounts from Switzerland, the UK or countries in the European Economic Area.

For all spend allocated to CPA campaigns, tvScientific has full control over campaign optimization, creative optimization, targeting strategy, performance measurement, and the deployment of Advertiser’s spend within the constraints of the budget in the Order. tvScientific shall have the right, in its discretion, to redirect budget, reallocate impressions, and modify campaign execution strategies in order to achieve the agreed-upon performance metric, for CPA within the applicable attribution window, as attributable to advertising spend deployed and managed by tvScientific.

Ad impressions will be served at the sole discretion of tvScientific. Advertiser may request exclusion of publisher inventory to the extent it can reasonably be excluded by publisher ID or publisher name. Any exclusions (e.g., publishers, certain orders, types of customers, parts of an order, etc.) must be agreed in writing prior to the start of a campaign. Any adjustments to agreed campaign details (including budget additions, date extension and placement modifications) must be agreed in writing (email sufficient).

Advertiser hereby (1) instructs tvScientific to deploy tvScientific tags/pixels (“Tags”) in Advertiser’s ad creative, (2) agrees to deploy Tags that track outcomes/conversions on its properties requested by tvScientific, and (3) agrees that such Tags will fire and collect exposure and outcomes/conversion data. For the avoidance of doubt, any prohibition on firing pixels or tags set forth in the Network is of no force or effect.

Advertiser acknowledges that performance-based pricing models (including CPA, CPI, or similar) rely on accurate tracking implementation. Advertiser will keep all Tags in place for the duration of the campaign and the full attribution window following expiration or termination of a campaign or an Order for any reason. If Advertiser removes Tags or tracking is otherwise impaired due to Advertiser action or inaction, tvScientific may convert billing to a CPM or delivered media basis for the affected period. For the avoidance of doubt, expiration or termination of a campaign or an Order does not affect the attribution window or Advertiser's obligation to pay for conversions that occur during the attribution window. Upon expiration or termination of an Order, the Order shall not automatically renew: any renewal requires signing a new Order.

Attribution

Maximum reversal percentage: 0% (no reversals).

This is not a last click model. tvScientific will assign 100% of the attribution to any action where tvScientific has deterministically matched identifiers (e.g., IP address). No other attribution logic or terms and conditions shall apply. The following example of tvScientific’s deterministic attribution process is provided for illustrative purposes:

(i) Ad is delivered to household CTV; ID is identified and stored to exposure file.

(ii) Exposure file is appended with additional devices tied to household ID(s).

(iii) Ad exposed consumer completes Advertiser’s desired outcome (e.g., purchase) on a smartphone, laptop, tablet, or other device.

(iv) tvScientific collects data on outcome events (e.g., pixel fires).

(v) Attribution is identified by matching the IDs related to both the exposure file and outcome file.

tvScientific will report monthly conversions. In the event of a good-faith dispute regarding specific conversions, the parties shall confer in good faith to resolve the issue.

tvScientific is authorized to submit transactions to Advertiser’s Network account to be commissioned based on the agreed upon attribution rules in this Agreement.

Data

Advertiser owns all “Advertiser Data”, meaning any data imported by or on behalf of Advertiser into the Services for targeting, lookalike modeling, or suppression purposes. To the extent Advertiser Data includes personal information or Advertiser “sells” or “shares” personal information about California residents to tvScientific, the Data Processing Addendum shall apply. For clarity, Advertiser Data includes aggregate reports from Advertiser’s campaigns that are made available to Advertiser via the Network.

tvScientific owns all tvScientific Data, meaning data residing on, made available through, or generated or derived in connection with the Services, including campaign data reported via the Network, data collected by the Tags, data collected via tags/pixels or other mechanisms implemented by Advertiser or the Network, and any conversion/outcomes data provided to tvScientific by or on behalf of Advertiser. Advertiser may use any reports provided by the Services (“Reports”) solely for planning and administering ad campaigns with tvScientific and post-campaign analysis.

tvScientific may use conversion data shared using the Pinterest Tag or Conversions API or another conversion sharing product made available by Pinterest, subject to the terms and conditions between tvScientific and Advertiser set forth herein.

Fees and Payment.

Advertiser will be billed for every conversion that is attributed via tvScientific’s tracking, according to tvScientific’s records. When applicable, tvScientific will charge based on the full order value passed in by the tag/ pixel for each conversion. If third parties (e.g. inventory partners) assess creative approval fees, tvScientific may pass such fees on to Advertiser.

Advertiser will pay fees via the Network, but remains responsible for all amounts fees owed to tvScientific under each campaign or Order. If Advertiser fails to pay the Network, tvScientific may take action to recover such amounts directly from Advertiser. At tvScientific’s request, Advertiser will disclose its payment terms with the Network and the status of any amounts due or paid to the Network for Services. Advertiser will pay all amounts due in accordance with its agreement with the Network. Fees shall be deemed undisputed unless Advertiser notifies tvScientific otherwise within 10 days of tvScientific’s end of month reporting.

tvScientific’s fees do not include Taxes. tvScientific may charge applicable Taxes in addition to its fees, unless Advertiser provides timely, fully completed resale exemption documentation for the applicable jurisdictions. Except for Tax that tvScientific has charged to Advertiser and that Advertiser has actually paid to tvScientific, Advertiser is responsible for remitting all Taxes. If Advertiser is legally required to withhold Taxes from payments to tvScientific, Advertiser will pay the additional amounts necessary to make each net payment to tvScientific (i.e., after Tax withholding) no less than the original amount of fees due. If tvScientific is held responsible for any Taxes, Advertiser will reimburse tvScientific.

“Taxes” means taxes, levies, fees or duties of any nature based on or arising from the Services and/or this Agreement, not including taxes on tvScientific’s net income.

Restrictions.

Advertiser will use the Services only for its own use or for clients that have authorized Advertiser to do so. Advertiser will not (i) attempt to circumvent security measures, (ii) introduce or distribute any software, virus, malware, adware, spyware, worm, “back door,” Trojan Horse, or similar harmful code to the Services or through the ads, (iii) reproduce, distribute, modify, adapt, prepare derivative works of, translate, reverse engineer, reverse compile or disassemble the Services or any element thereof (including any tvScientific Data), (iv) use the Services to gather competitive intelligence, (vi) interfere with the proper functioning or performance of the Platform or Services, (vii) share its Platform login with, or otherwise grant access to the Platform or Services to, any third party without express notification to and approval by tvScientific, (viii) use or authorize the use of the Platform or Services for any purpose not permitted under this Agreement, (ix) copy, sell, transfer, lease, lend, syndicate, or sub-syndicate the Services, or use the Services for co-branding, timesharing, arbitrage (e.g., reselling), service bureau or other unauthorized purposes, (ix) use rotating ad tags, or (xi) create targeting profiles or segments on the basis of the channels, shows or online properties that a user has visited, the content of the inventory, or the general interest area(s) covered by the channels, shows or online properties. tvScientific may immediately suspend Advertiser’s access or terminate this Agreement upon its reasonable belief that Advertiser has breached any provision of this section.

Privacy.

Advertiser will ensure that users are provided notice and choice on Advertiser’s websites and other digital properties (collectively, “Sites”) where data is collected and used in association with the Services that (a) include a description of the collection and use of data from and about users for purposes of showing ads that are targeted to their interests by third parties (such as tvScientific), and (b) contain a conspicuous hyperlink behind which users may opt out of processing of personal information by tvScientific, including for purposes of targeted advertising. Advertiser will provide clear and prominent notice of data collection via pixels, tags, cookies, APIs, or similar technologies and, where legally required, Advertiser will obtain any necessary rights, consents, or permissions for the same.

Without limiting Advertiser’s obligations under any applicable law, Advertiser shall not cause tvScientific or the Services to process any Prohibited Data (e.g. through the placement of a Tag). “Prohibited Data” means: (a) any information pertaining to any individual who has (i) opted out of “targeted advertising,” “sharing,” or “sales” of their data, as such terms are defined under applicable law or (ii) where requested or required, declined to provide consent for the collection or use of their information; (b) any information regarding an individual user’s specific health condition, information that constitutes health information or consumer health data under any applicable law, or any information or inference regarding health that would be considered sensitive under the NAI Code or PHI as defined under the Health Insurance Portability and Accountability Act of 1996; (c) any information associated with a persistent identifier that is: (i) from or about individuals Advertiser knows or should know are Children (“Children” as used herein being individuals less than 16 years of age or the age defined by law in any applicable jurisdiction, whichever is greater); (ii) any information from inventory that Advertiser knows or should know is directed to Children; or (iii) any user or audience segments directed at or identifying Children; (d) any Identifying Information (defined below); (e) any precise location information or GPS information; or (f) any other information that would be considered protected, sensitive, special, or similar under applicable local law or local self-regulatory program, such as data deemed “sensitive” under consumer privacy laws of various U.S. states. “Identifying Information” means data that directly identifies or reasonably can be used to directly identify an individual. For the avoidance of doubt, Identifying Information does not include: (a) cookie identifiers; (b) advertising identifiers assigned by mobile devices; (c) IP addresses; (d) other forms of device identifiers generally accepted for use in relation to advertising; and (e) demographic, interest, or browsing behavior data associated with such identifiers. If Advertiser learns that it provided tvScientific or caused tvScientific to process any Prohibited Data, Advertiser shall immediately notify tvScientific and take all necessary steps to assist tvScientific in responding to the breach by removing the data and doing anything else necessary to come into compliance, at Advertiser’s sole cost.

Compliance.

Each party will comply with all applicable laws and regulations.

Advertiser represents and warrants that the ads and Sites do not: (a) breach any third party rights (including intellectual property and privacy rights); (b) spawn additional windows or messages beyond the original ad, auto-forward users’ browsers, or resemble system dialogue boxes or error messages; (c) intentionally obscure or falsify the source of the impressions or artificially inflate the volume of such impressions in any way; and (d) include any unlawful content or content encouraging, supporting, assisting, providing instructions or advising in the committing of a criminal offense or other illegal activity, or any content that may be considered deceptive, misleading, threatening, abusive, harassing, defamatory, libelous, vulgar, violent, obscene, pornographic, sexually explicit, sexually suggestive, discriminatory, drug related or racially, ethnically or otherwise objectionable. Advertiser shall not use the Services for any non-advertising purposes, including without limitation decisions relating to eligibility for, or pricing of, employment, credit, health care, insurance, housing, or education.

Ownership. As between tvScientific and Advertiser, Advertiser owns all Advertiser ad creatives (“Advertiser Materials”) and Advertiser Data (defined above); and tvScientific and its licensors and third party providers own all right, title and interest in the Services, including but not limited to all software, technology and processes, and all derivative works and improvements. Aside from the rights granted herein, neither party grants the other any other right, express or implied, and each party reserves all rights not expressly granted hereunder. tvScientific may use Advertiser Materials that Advertiser provides or has provided to tvScientific, solely internally to develop and improve the Services, provided that tvScientific shall not use Advertiser Materials to create ads for any third party or provide Advertiser Materials to any third party (except tvScientific vendors using Advertiser Materials solely on behalf of tvScientific). Any suggestions, comments, improvements, ideas, enhancement requests or feedback provided by Advertiser to tvScientific relating to the Services or any other services or products of tvScientific (collectively, “Feedback”) are provided voluntarily. Advertiser agrees that all Feedback may be used by tvScientific without compensation, accounting or attribution to Advertiser, and Advertiser grants tvScientific a perpetual, irrevocable, fully paid up right and license to the Feedback. Nothing in this Agreement shall prevent tvScientific from using general learning and know-how arising from tvScientific’s provisions of Services.

Suspension. tvScientific may suspend provision of the Services or suspend an individual campaign if, in tvScientific’s sole discretion, tvScientific reasonably believes that Advertiser is violating the Agreement.

Mutual Indemnification and Limitation of Liability.

tvScientific shall indemnify, defend and hold harmless Advertiser and its directors, officers, employees and agents (and their respective successors, heirs and assigns) (“Advertiser Parties”) against any claim, liability, damage, loss or expense (including reasonable attorneys’ fees and costs) (“Liabilities”) incurred by the Advertiser Parties in connection with any third party claim (including, for clarity, any regulatory or governmental action) that tvScientific’s proprietary technology that provides the Services, in the form provided by tvScientific, infringes any US patent or other third party intellectual property right. Advertiser shall indemnify, defend and hold harmless tvScientific and its licensors, third party providers, directors, officers, employees and agents, its and their respective successors, heirs and assigns (“tvScientific Parties”) against any Liabilities incurred by the tvScientific Parties in connection with any third party claim (including, for clarity, any regulatory or governmental action) arising out of or relating to (a) Advertiser’s breach of this Agreement, or (b) the Advertiser Materials or other material with which Advertiser uses on or in connection with the Services (including the advertisements and the Sites).

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR (I) BREACHES OF ADVERTISER’S PRIVACY OBLIGATIONS; AND (II) EACH PARTY’S INDEMNITY OBLIGATIONS, BREACHES OF CONFIDENTIALITY OBLIGATIONS, AMOUNTS OWED UNDER THIS AGREEMENT AND ANY MINIMUM FEES: (A) IN NO CASE SHALL EITHER PARTY’S MAXIMUM LIABILITY ARISING OUT OF THIS AGREEMENT, WHETHER BASED UPON WARRANTY, CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY, OR OTHERWISE, EXCEED IN THE AGGREGATE, THE SUM OF THE AMOUNTS PAID TO TVSCIENTIFIC FOR THE THREE MONTHS PRIOR TO THE DATE THE CAUSE OF ACTION AROSE, AND (B) IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, REVENUES, OR OPPORTUNITIES, ARISING OUT OF THIS AGREEMENT, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Confidentiality.

No party will disclose another party’s Confidential Information to a third party except (i) to affiliates, contractors and agents who need to know it and who have agreed in writing to confidentiality obligations at least as protective as this Agreement, (ii) as required by law after using reasonable efforts to provide advance notice of such disclosure, or (iii) with the disclosing party’s consent. “Confidential Information” means information disclosed by a party to the other party under this Agreement that is marked confidential or would reasonably be considered confidential under the circumstances, and excludes any information that (i) is or becomes public, through no fault of the recipient, (ii) was rightfully acquired by or already known to the recipient without an existing confidentiality obligation, or (iii) is independently developed by the recipient.
